BY USING THE SOFTWARE, YOU CONSENT TO THE PRACTICES DESCRIBED IN THIS PRIVACY POLICY.
1. INFORMATION WE COLLECT
We collect the following types of information:
1.1 Information You Provide
• Email Address: When you activate a trial or paid license
• Company Name: Optionally provided during license activation
• License Key: The trial or paid license key you use to activate the Software
1.2 Automatically Collected Information
• Machine Hash: A unique identifier generated from your computer's hardware characteristics, used for license validation and device management
• Machine Name:The name of your computer (e.g., "JOHN-PC"), used for device identification and license management purposes
• ActivationDates: Timestamps of when you first activated your license and when your license was last verified
• Device Count: For paid multi-device licenses, we track how many devices are actively using yourlicense
1.3 Information We Do NOT Collect
We want to be clear about what we do NOT collect:
• We do NOT access, upload, or store any Word documents you process with the Software
• We do NOT collect the content of your master documents, templates, or presets
• We do NOT collect the content of documents you generate using the Software
• We do NOT track your browsing history or use cookies
• We do NOT collect preset usage statistics or analytics about how you use the Software's features
All document processing happens locally on your computer. Your documents never leave yourdevice.
2. HOW WE USE YOUR INFORMATION
We use the collected information for the following purposes:
2.1 LicenseValidation
• Verify that your trial or paid license is valid and has not expired
• Prevent unauthorized use of trial keys (each computer can use a trial key only once)
• Enforce device limits for multi-device paid licenses
• Manage license renewals and expirations
2.2 Communication
• Send important notices about your license (expiration, renewal reminders)
• Respond to your support requests or inquiries
• Notify you of material changes to this Privacy Policy or our End User License Agreement
2.3 PaymentProcessing
• Process subscription payments through our payment processor (Paddle)
• Manage refunds and subscription cancellations
3. HOW WE STORE YOUR INFORMATION
3.1 Data Storage
Your information is stored securely in our database hosted by Supabase, a third-party cloud database provider. Supabase employs industry-standard security measures including:
• Encryption of data in transit (TLS/SSL)
• Encryption of data at rest
• Regular security audits and monitoring
• Access controls and authentication
3.2 Data Retention
We retain your personal information for as long as your license or trial remains active.If your trial expires or your subscription is not renewed, we retain limited information (such as license identifiers and machine hashes) for as long as reasonably necessary to enforce license terms, prevent trial key reuse, and comply withlegal or regulatory obligations, unless you request deletion as described in Section 6.
3.3 Local Storage
The Software also stores certain information locally on your computer, including:
• Your encrypted license data (to allow offline use)
• Your documents, templates, and presets (never uploaded to our servers)
• Application settings and preferences
4. HOW WE SHARE YOUR INFORMATION
We do not sell, trade, or rent your personal information to third parties. We may share your information only in the following limited circumstances:
4.1 ServiceProviders
We may share information with trusted third-party service providers who assist us inoperating the Software:
• Supabase: Database hosting and management
• Paddle: Payment processing (when you purchase a paid license) These providers are contractually obligated to protect your information and use it only for the purposes we specify.
4.2 LegalRequirements
We may disclose your information if required to do so by law or in response to valid legal requests (such as a court order or subpoena).
4.3 BusinessTransfers
If Modulo is acquired by or merged with another company, your information may be transferred to the new entity.
5. INTERNATIONAL DATA TRANSFERS
Your information may be transferred to and stored on servers located outside of your country of residence, including in the United States and European Union (where Supabase operates data centers). By using the Software, you consent to such transfers. We ensure that all international data transfers comply with applicable data protection laws, including GDPR for users in the European Union and United Kingdom.
6. YOUR RIGHTS AND CHOICES
6.1 Access and Correction
You have the right to request access to the personal information we hold about you and to request corrections if it is inaccurate or incomplete. Contact us atstace@usemodulo.com.
6.2 Data Deletion You have the right to request deletion of your personal information, subject to certain exceptions (such as records we are required to retain for legal or accounting purposes).To request deletion:

• We will delete your information within 30 days of your request
• Note that deleting your data will permanently deactivate your license
6.3 Data Portability
You have the right to request a copy of your personal information in a structured, commonly used, machine-readable format. Contact us at stace@usemodulo.com.
6.4 Withdrawal of Consent You may withdraw your consent to our processing of your personal information at any time by ceasing to use the Software and requesting deletion of your data. However, this will terminate your license.
6.5 European Union and United Kingdom Users
If you are located in the EU or UK, you have additional rights under the General Data Protection Regulation (GDPR), including:
• Right to object to processing
• Right to restriction of processing
• Right to lodge a complaint with your local data protection authority
7. SECURITY
We implement appropriate technical and organizational measures to protect your personal information against unauthorized access, alteration, disclosure, or destruction. These measures include:
• Encryption of data in transit and at rest
• Secure authentication and access controls
• Regular security assessments
• Limited access to personal information on a need-to-know basis
However, no method of transmission over the Internet or electronic storage is 100% secure. While we strive to protect your information, we cannot guarantee absolute security.
8. CHILDREN'S PRIVACY
The Software is not intended for use by individuals under 18 years of age. We do not knowingly collect personal information from children. If we become aware that we have collected information from a child under 18, we will delete it promptly.
9. CHANGES TO THIS PRIVACY POLICY
We may update this Privacy Policy from time to time to reflect changes in our practices or applicable laws. We will notify you of material changes by:
• Sending an email to the address associated with your license
• Posting the updated Privacy Policy on our website
• Providing at least 30 days' notice before changes take effect
Minor clarifications or updates that do not materially affect your rights or how your data is used may be made without prior notice, and will be reflected by the updated "Last Updated" date at the top of this Privacy Policy.
Your continued use of the Software after the effective date of the updated Privacy Policy constitutes your acceptance of the changes. If you do not agree to the updated Privacy Policy, you must cease using the Software. The "Last Updated" date at the top of this Privacy Policy indicates when it was last revised.
10. THIRD-PARTYSERVICES
The Software may integrate with or reference third-party services (such as Paddle for payments).
This Privacy Policy does not cover the privacy practices of these thirdparties. We encourage you to review their privacy policies:

11. DO NOT TRACK SIGNALS
The Software does not track your online activities across third-party websites or services. We do not respond to "Do Not Track" signals because we do not track users in this manner.

END USER LICENS EAGREEMENT

This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity, "You" or "User") and Modulo Systems Pty Ltd (ABN 99 695 625 499) ("Modulo," "we,""us," or "our"), for the Modulo software application ("Software").
BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT INSTALL OR USE THE SOFTWARE.
1. LICENSE GRANT
1.1 Grant of License
Subject to the terms and conditions of this Agreement, Modulo grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software for your internal business purposes.
1.2 Trial License
If you are using a trial license, you may use the Software for evaluation purposes only during the trial period specified when you activate your trial key. Trial licenses are subject to all terms of this Agreement.
1.3 Paid License
If you have purchased a paid license, you may use the Software in accordance with the license type purchased (individual or multi-device) for the duration of your subscription period.
2. LICENSE RESTRICTIONS
You agree NOT to:
• Copy, modify, adapt, translate, or create derivative works of the Software
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of theSoftware
• Rent, lease, loan, sublicense, distribute, or transfer the Software to any third party
• Remove, alter, or obscure any proprietary notices on the Software
• Circumvent, disable, or interfere with any security features or license validation mechanisms
• Use the Software for any illegal or unauthorized purpose
• Share your license key or trial key with any third party
• Use the Software on more devices than your license permits
3. INTELLECTUAL PROPERTY
3.1 Ownership ofSoftware
The Software is licensed, not sold. Modulo retains all right, title, and interest in and to the Software, including all intellectual property rights. This Agreement does not grant you any rights to trademarks, service marks, or trade names of Modulo.
3.2 Ownership of Your Content
You retain all rights to any documents, templates, presets, or other content you create, process, or generate using the Software ("Your Content"). Modulo doesnot claim any ownership rights to Your Content. The Software processes Your Content locally on your device, and we do not access, store, or transmit Your Content to our servers.
4. PAYMENT AND SUBSCRIPTIONS
4.1 Subscription Fees
Paid licenses require payment of subscription fees as specified at the time of purchase. Feesare charged annually and are non-refundable except as specified in Section 4.2.
4.2 Refunds
Subscription payments are processed by our payment processor, Paddle, which acts as the merchant of record. If you cancel your subscription, you may be eligible for a pro-rated refund calculated by dividing the annual subscription fee by 365 days and multiplying by the number of unused days remaining in your subscription period. Refund requests must be submitted by contacting us at stace@usemodulo.com within 30 days of cancellation. Approved refunds will be processed via Paddle in accordance with Paddle’s refund policies and processing timelines.
4.3 Free Trial
We offer a free trial period for evaluation purposes. No refunds or money-back guarantees apply to paid subscriptions, as you have the opportunity to fully evaluate the Software during the trial period before purchasing.
5. UPDATES AND MODIFICATIONS
5.1 Software Updates
Modulo may, fromtime to time, release updates, patches, or new versions of the Software that add features, improve performance, or fix issues. Updates are provided at our discretion and may be installed at your option. While we intend to continue improving the Software, we do not guarantee the availability, frequency, or timing of any updates, nor do we commit to providing ongoing support or maintenance services.
5.2 Agreement Modifications
Modulo reserves theright to modify this Agreement at any time. We will provide notice of material changes by email and/or by posting the updated Agreement on our website at least 30 days before the changes take effect. Your continued use of the Software after the effective date constitutes acceptance of the modified Agreement. If you do not agree to the modifications, you must cease using the Software and may cancel your subscription for a pro-rated refund.
Minor clarifications or updates that do not materially affect your rights or obligations may be made without prior notice, and will be reflected by the updated "Last Updated" date at the top of this Agreement.
6. TERM AND TERMINATION
6.1 Term
This Agreement begins when you accept it (by installing or using the Software) and continues until terminated.
6.2 Termination by You
You may terminate this Agreement at any time by ceasing to use the Software and uninstalling it from all devices.
6.3 Termination by Modulo
Modulo may terminate this Agreement immediately if you breach any of its terms. Upon termination for breach, you must immediately cease using the Software and uninstall it from all devices.
6.4 Effect of Termination
Upon termination, your license to use the Software terminates immediately. Sections 2, 3, 7, 8,9, and 10 survive termination.
7. WARRANTY DISCLAIMER
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MODULO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Modulo does not warrant that:
• The Software willmeet your requirements or expectations
• The Software willbe uninterrupted, timely, secure, or error-free
• The resultsobtained from using the Software will be accurate or reliable
• Any errors in theSoftware will be corrected
YOU ARE SOLELY RESPONSIBLE FOR REVIEWING ALL OUTPUT GENERATED BY THE SOFTWARE. THE SOFTWARE ISA TOOL TO ASSIST WITH DOCUMENT GENERATION, BUT YOU MUST VERIFY ALL GENERATED CONTENT FOR ACCURACY, COMPLETENESS, AND SUITABILITY FOR YOUR PURPOSES.
8. LIMITATION OFLIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MODULO BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF MODULO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
In jurisdictions that do not allow the exclusion or limitation of liability for consequential or incidental damages, Modulo's liability shall be limited to the maximum extent permitted by law.
IN ANY CASE,MODULO'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9. INDEMNIFICATION
You agree toindemnify, defend, and hold harmless Modulo and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from: (a) your use of the Software; (b) your violation of this Agreement; or (c) Your Contentor any third-party claim related to Your Content.
10. GENERAL PROVISIONS
10.1 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Victoria, Australia, without regard to its conflict of law principles.
10.2 Jurisdiction
Any legal action or proceeding arising under this Agreement shall be brought exclusively in the courts located in Victoria, Australia, and you consent to personal jurisdiction in such courts.
10.3 Entire Agreement
This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and Modulo regarding the Software and supersedes all prior or contemporaneous agreements, communications, and proposals.
10.4 Severability
If any provision of this Agreement is found to be unenforceable or invalid, that provision shall belimited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect.
10.5 Waiver
No waiver of any term or condition of this Agreement shall be deemed a further or continuing waiver of such term or any other term.
10.6 Assignment
You may not assign or transfer this Agreement or any rights granted here under. Modulo may freely assign this Agreement.
10.7 Age Restriction
The Software isintended for use by individuals 18 years of age or older. If you are under 18,you may not use the Software.
10.8 Export Compliance
You agree to comply with all applicable export and import laws and regulations in your use of the Software.
